1. Agreement to These Terms

These Terms of Service ("Terms") form a legally binding agreement between you and Cameraman ("Cameraman," "we," "us," or "our"), regarding your access to and use of the Cameraman application, website, and related services (collectively, the "Service").

By downloading, accessing, creating an account for, or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

If you use the Service on behalf of a company, organization, or other entity, you represent and warrant that you are authorized to bind that entity to these Terms, and "you" includes that entity.

You agree that electronic acceptance of these Terms has the same force and effect as a signed written agreement.

2. Who We Are

Cameraman is independently operated. References to "Cameraman," "we," "us," and "our" refer to the operator of the Service and any authorized service providers acting on the Service's behalf.

3. Eligibility

You may use the Service only if:

  • you are at least 13 years old or the minimum age required in your jurisdiction, whichever is higher;
  • you have the legal capacity to enter into these Terms; and
  • your use of the Service does not violate any applicable law, regulation, or contractual restriction.

If you are under the age of majority where you live, you may use the Service only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

4. The Service

Cameraman is a social communication and content platform that may allow users to:

  • participate in live audio, video, and text interactions;
  • create, host, join, record, and replay sessions, rooms, or stages;
  • send messages, media, and other content;
  • share, export, clip, or distribute content;
  • connect to or use third-party services and platforms.

The Service may evolve over time. We may add, remove, suspend, limit, modify, or discontinue any part of the Service at any time, with or without notice, and without liability to you.

5. Accounts and Security

You may need an account to access some or all features of the Service. You agree to:

  • provide accurate, current, and complete information;
  • keep your login credentials confidential;
  • promptly update your information if it changes;
  • immediately notify us of any unauthorized access to or use of your account; and
  • accept responsibility for all activities that occur under your account, whether or not authorized by you.

We may refuse registration, suspend, reclaim usernames, restrict access, or terminate accounts at any time in our sole discretion.

6. Paid Features, Fees, and Refunds

Some features of the Service may be free, and some may require payment now or in the future. If we offer paid features, subscriptions, or digital goods, you agree to pay all applicable amounts, taxes, and charges described at the time of purchase.

Unless otherwise required by applicable law, all fees are non-refundable once paid. We may change pricing, features, or billing structures at any time. Where required, price changes for recurring subscriptions will take effect after reasonable notice.

If you purchase through a third-party platform such as Apple, that platform's billing and refund rules may also apply.

7. User Content

7.1 Ownership

You retain ownership of content you create, upload, transmit, stream, post, message, record, or otherwise make available through the Service (collectively, "User Content"), subject to the rights you grant in these Terms.

7.2 License to Cameraman

By submitting or making User Content available through the Service, you grant Cameraman a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, adapt, format, transcode, display, perform, distribute, publish, communicate, transmit, and otherwise use your User Content as reasonably necessary to:

  • operate, maintain, secure, and provide the Service;
  • create backups and preserve evidence;
  • display and share content as directed by you or enabled by the Service;
  • moderate, review, investigate, or enforce these Terms;
  • improve, troubleshoot, develop, and support features;
  • generate captions, transcripts, clips, previews, thumbnails, recommendations, analytics, or similar outputs;
  • comply with legal obligations; and
  • protect the rights, property, safety, and security of the Service, users, and third parties.

This license continues for as long as reasonably necessary for the purposes above, including any period during which your content remains stored in backups, logs, archives, reports, legal holds, or retained copies.

7.3 License to Other Users

If you make User Content available to other users or publicly through the Service, you grant those users a non-exclusive right to access and use that User Content as contemplated by the functionality of the Service and these Terms.

7.4 Your Responsibility for User Content

You are solely responsible for your User Content and for the consequences of creating, uploading, streaming, recording, or sharing it. You represent and warrant that:

  • you own or have all rights, licenses, consents, and permissions needed for your User Content and its use on the Service;
  • your User Content and activities do not infringe, misappropriate, or violate any third-party rights, including privacy, publicity, copyright, trademark, contract, confidentiality, or other rights;
  • your User Content complies with these Terms and all applicable laws; and
  • you have obtained any required notices, releases, and consents, including recording and publicity consents.

8. Recording, Streaming, and Consent

The Service may enable recording, clipping, replay, transcription, analysis, AI-assisted processing, streaming, exporting, and redistribution of audio, video, text, and related interactions.

By using the Service, you understand and agree that:

  • sessions, rooms, stages, messages, and interactions may be recorded, clipped, replayed, exported, streamed, or shared by us, hosts, participants, or other users depending on the feature design and user actions;
  • we are not responsible for how users record, share, or use content once they access it;
  • you are solely responsible for complying with all laws applicable to you, including laws relating to recording consent, privacy, data protection, confidentiality, employment, wiretapping, surveillance, minors, intellectual property, publicity rights, and platform rules;
  • you will not use the Service to record, intercept, collect, or disclose communications unlawfully; and
  • you assume the risk that content you share through the Service may be copied, captured, archived, or redistributed by others.

If you host, initiate, record, or stream a session, you are solely responsible for providing any notices and obtaining any consents required by law.

9. Prohibited Conduct

You agree not to, and not to assist or encourage others to:

  • violate any applicable law, regulation, or third-party right;
  • upload, post, stream, or share unlawful, infringing, defamatory, fraudulent, misleading, hateful, threatening, abusive, exploitative, or otherwise objectionable content;
  • exploit, endanger, groom, harass, stalk, impersonate, or dox any person;
  • record, stream, or disclose another person's content, communications, likeness, or personal information without authorization where required;
  • upload or transmit malware, spyware, ransomware, viruses, or other harmful code;
  • interfere with, disrupt, damage, overburden, or impair the Service or related infrastructure;
  • access non-public areas of the Service or circumvent security measures, rate limits, moderation systems, or access restrictions;
  • reverse engineer, decompile, scrape, copy, mirror, frame, or create unauthorized derivative works of the Service except to the extent such restriction is prohibited by law;
  • use bots, scripts, automation, or data harvesting tools without our prior written permission;
  • use the Service to spam, phish, scam, mislead, or distribute unsolicited commercial communications;
  • use the Service for illegal gambling, extremist activity, terrorism, sexual exploitation, trafficking, or child sexual abuse material;
  • infringe intellectual property rights or evade repeat-infringer measures;
  • use the Service in a way that violates third-party terms, including platform, carrier, marketplace, or app store terms; or
  • encourage or facilitate any of the foregoing.

We may investigate and take any action we deem appropriate, including removing content, suspending features, preserving evidence, reporting conduct, and cooperating with law enforcement or other authorities.

10. Moderation and Enforcement

We reserve the right, but not the obligation, to monitor, review, screen, remove, restrict, edit, refuse, or disable access to any content, account, room, stream, recording, message, or feature at any time and for any reason, with or without notice.

We do not guarantee that we will monitor all content or enforce these Terms in every instance. Failure to act in one case does not waive our right to act in another.

We may preserve and disclose information if we believe doing so is reasonably necessary to:

  • comply with law, regulation, legal process, or governmental request;
  • enforce these Terms;
  • detect, prevent, or address fraud, abuse, security, or technical issues; or
  • protect the rights, property, safety, or security of the Service, users, ourselves, or third parties.

11. Intellectual Property and Feedback

Except for User Content, the Service and all related software, code, designs, interfaces, text, graphics, logos, trademarks, branding, audio, video, compilations, and other materials are owned by or licensed to Cameraman and are protected by intellectual property and other laws.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service for its intended purpose.

If you provide feedback, suggestions, ideas, feature requests, bug reports, or other input regarding the Service ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, sublicensable right to use that Feedback for any purpose without restriction, notice, or compensation to you.

12. Copyright and Rights Complaints

If you believe content on the Service infringes your copyright or other rights, you may contact us at support@cameraman.app with sufficient detail for us to review the matter.

We may remove allegedly infringing content, suspend access, or terminate repeat infringers in our discretion.

13. Third-Party Services and Content

The Service may link to, integrate with, interoperate with, or rely on third-party services, software, websites, networks, payment processors, cloud providers, AI tools, app stores, or streaming platforms.

We do not control and are not responsible for any third-party service, content, action, outage, security incident, policy, or practice. Your use of third-party services is solely between you and the applicable third party and may be subject to separate terms and policies.

You are solely responsible for complying with all third-party terms that apply to your use of the Service.

14. Privacy and Communications

Your use of the Service is also subject to our Privacy Policy.

You consent to receive electronic communications from us relating to the Service, your account, security, support, transactions, legal notices, and operational messages. You are responsible for keeping your contact information current.

Where we send promotional or marketing messages, we will do so subject to applicable law.

14.1 Security and Breach Risk

While we may use measures intended to help with it, no platform, software, network, server, transmission method, or storage system can be guaranteed to be completely secure.

By using the Service, you acknowledge and agree that:

  • you use the Service at your own risk;
  • you are responsible for using reasonable measures to protect your account credentials, devices, and access to the Service;
  • we do not guarantee that the Service will be free from hacking, intrusion, cyberattack, unauthorized access, data loss, data corruption, service interruption, or other security incidents; and
  • to the maximum extent permitted by law, we are not responsible for any unauthorized access to, alteration of, disclosure of, loss of, theft of, deletion of, corruption of, or failure to store your content, data, account information, communications, or other information, including where caused by hacking, credential theft, phishing, malware, ransomware, denial-of-service attacks, infrastructure failure, or other acts or events beyond our reasonable control.

Nothing in this Section limits any rights or remedies that cannot lawfully be excluded under applicable law.

15. Beta Features; No Reliance

Some features may be labeled beta, test, preview, experimental, or similar. Those features may be unstable, incomplete, inaccurate, or unavailable, may change without notice, and may never be released.

You use beta or experimental features at your own risk and should not rely on them for mission-critical, emergency, business-critical, or irreplaceable uses.

16. Suspension, Termination, and Deletion

We may suspend, restrict, disable, or terminate your access to the Service, your account, or any content or feature at any time, for any reason or no reason, with or without notice, and without liability.

You may stop using the Service at any time.

Upon termination:

  • your rights under these Terms will end immediately;
  • we may delete, retain, or disable access to your account and User Content in our discretion, subject to backups, legal obligations, dispute preservation, fraud prevention, and technical limitations; and
  • sections that by their nature should survive will survive, including provisions relating to licenses, ownership, disclaimers, limitations of liability, indemnity, governing law, dispute resolution, and miscellaneous terms.

17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."

CAMERAMAN DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR COLLATERAL, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, AVAILABILITY, QUALITY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

  • THE SERVICE OR ANY CONTENT WILL BE AVAILABLE, SECURE, OR ERROR-FREE;
  • THE SERVICE, SERVERS, STORAGE, OR COMMUNICATIONS WILL BE FREE FROM HACKING, MALWARE, UNAUTHORIZED ACCESS, OR OTHER SECURITY BREACHES;
  • RECORDINGS, STREAMS, TRANSCRIPTS, CLIPS, EXPORTS, OR MESSAGES WILL BE PRESERVED, DELIVERED, OR ACCURATE;
  • DEFECTS WILL BE CORRECTED;
  • ANY CONTENT WILL BE LAWFUL, ACCURATE, OR SAFE; OR
  • THE SERVICE WILL MEET YOUR NEEDS OR EXPECTATIONS.

YOU ARE SOLELY RESPONSIBLE FOR BACKING UP ANY CONTENT YOU CARE ABOUT.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CAMERAMAN, THE OPERATOR OF THE SERVICE, OR ANY OF THEIR SERVICE PROVIDERS, LICENSORS, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, CONTENT, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, INCLUDING ANY SECURITY INCIDENT, DATA BREACH, HACKING, UNAUTHORIZED ACCESS, ACCOUNT COMPROMISE, SERVICE INTERRUPTION, OR LOSS OR CORRUPTION OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF CAMERAMAN ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO CAMERAMAN FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  • CAD $100.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION AND REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

19. Release

To the maximum extent permitted by law, you release and discharge Cameraman, the operator of the Service, and their contractors, service providers, licensors, and agents from any and all claims, demands, damages, losses, and disputes arising out of or related to:

  • content or conduct of other users or third parties;
  • disputes between you and another user, host, participant, streamer, viewer, rights holder, or third party;
  • unauthorized access, copying, recording, sharing, or misuse of content by other users or third parties; and
  • hacking, cyberattacks, security incidents, data breaches, credential theft, phishing, malware, or other unauthorized acts by third parties.

20. Indemnification

You agree to defend, indemnify, and hold harmless Cameraman, the operator of the Service, and their affiliates, contractors, service providers, licensors, and agents from and against any claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • your use of or access to the Service;
  • your User Content;
  • your breach of these Terms;
  • your violation of any law or third-party right; or
  • any recording, streaming, publication, sharing, or other use of content by you through the Service.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with us.

21. Governing Law and Venue

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

To the extent permitted by law, you agree that any dispute or proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in Alberta, Canada, and you consent to the personal jurisdiction of those courts.

To the extent applicable, the United Nations Convention on Contracts for the International Sale of Goods does not apply.

22. Time Limit to Bring Claims

To the maximum extent permitted by law, any claim arising out of or relating to the Service or these Terms must be brought within one (1) year after the claim arose, or it will be permanently barred.

23. Changes to These Terms

We may modify these Terms at any time by posting updated Terms, updating the "Last Updated" date, or otherwise providing notice. Unless otherwise stated, changes are effective when posted.

Your continued use of the Service after updated Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

24. Miscellaneous

24.1 Entire Agreement

These Terms, together with any policies or additional terms we expressly incorporate by reference, constitute the entire agreement between you and Cameraman regarding the Service and supersede prior or contemporaneous understandings relating to the Service.

24.2 Severability

If any provision of these Terms is held unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

24.3 No Waiver

Our failure to exercise or enforce any right or provision of these Terms is not a waiver of that right or provision.

24.4 Assignment

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a reorganization, sale, transfer of assets, financing, or change in control.

24.5 Force Majeure

We are not liable for any delay, failure, or interruption resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or utility failures, hosting failures, platform outages, governmental actions, or cyberattacks.

24.6 No Third-Party Beneficiaries

Except as expressly provided in these Terms, there are no third-party beneficiaries to these Terms.

25. Regional Consumer Rights

Nothing in these Terms is intended to exclude, restrict, or waive any rights or remedies you may have under applicable law that cannot lawfully be excluded, restricted, or waived.

26. Apple App Store Compliance

These Terms are concluded between you and Cameraman only, and not with Apple Inc. ("Apple"). Cameraman, and not Apple, is solely responsible for the Service and its content.

To the maximum extent permitted by applicable law:

  • Apple has no responsibility for the Service or its content.
  • Apple is not responsible for providing any maintenance or support services for the Service.
  • Apple is not responsible for addressing any claims relating to the Service, including but not limited to product liability claims, legal compliance claims, or claims arising under consumer protection laws.
  • Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party intellectual property infringement claims.

You acknowledge that Apple and its subsidiaries are third-party beneficiaries of these Terms and that, upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you as a third-party beneficiary.

  • you are not located in a country or region subject to a U.S. government embargo or designated by the U.S. government as supporting terrorism; and
  • you are not listed on any U.S. government list of prohibited or restricted parties.
